Terms of Service & Marketplace Terms

Ever After Exchange

Effective Date: November 12th, 2026

PLEASE READ THESE TERMS CAREFULLY.

These Terms of Service & Marketplace Terms (“Terms”) govern your use of the Ever After Exchange platform, which is operated by Ever After Exchange, llc (“EAE,” “we,” “us,” or “our”). 

 

By creating an account or using the Platform, you agree to these Terms.

1. Acceptance Of Terms

These Terms govern access to and use of the Ever After Exchange marketplace platform, including the mobile application, website, and related services (collectively, the “Platform”). By creating an account, accessing, or using the Platform, users (“Users,” or “you”) agree to be bound by these Terms.

2. Eligibility

The Platform is intended solely for users who are at least 18 years old. By using the Platform, users represent and warrant that they are at least 18 years of age and have authority to enter into these Terms.

3. Marketplace Platform Overview

The Platform is designed to help connect buyers and sellers of wedding décor and related products. The Platform facilitates listing messaging, payment processing, shipping integration, and dispute management; however, all transactions are entered into solely between Users. EAE is not a buyer, seller, reseller, manufacturer, distributor, insurer, or guarantor of any listed item and is not a party to transactions between Users. Except as expressly stated, EAE does not guarantee the quality, authenticity, legality, safety, or condition of any item or transaction listed within the Platform.  

 

Users interact, communicate, and transact with other Users at their own risk. EAE does not guarantee the accuracy, delivery, or availability of any listed item or transaction.

4. User Accounts

To use certain features of the Platform, Users may be required to create an account. Users may create accounts using email or approved social login methods. Users are responsible for maintaining the confidentiality of account credentials and all activity occurring under their accounts.

 

Users agree to:

  • provide accurate and complete information;

  • keep login credentials secure; and

  • be responsible for activity under their account.

5. Account Security; Unauthorized Use

Users are responsible for all activity occurring under their accounts. Users agree to immediately notify the EAE of any unauthorized access to, use of, or suspected security breach involving their account credentials or the Platform. EAE shall not be liable for any loss or damage arising from a User’s failure to maintain the confidentiality or security of account credentials.

6. Seller Listings and User Content

Sellers are solely responsible for the accuracy, legality, ownership, condition descriptions, pricing, and content of their listings. By submitting content, users grant the Platform a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operation of the Platform.  

 

Users represent and warrant that they own or have all necessary rights to the content they post and that such content does not infringe or violate any third-party rights.

 

EAE reserves the right to remove any listing or content that violates these Terms or that EAE otherwise determines, in its sole discretion, are inappropriate or inconsistent with the purpose of the Platform.

7. Payments and Stripe

Payments are processed through Stripe and related payment services. Funds may be held through Stripe’s applicable payment and escrow functionality. Users may also be subject to Stripe’s applicable terms, policies, and privacy practices, available at: https://stripe.com/legal and https://stripe.com/privacy.

8. Shipping

Shipping functionality may be facilitated through Shippo or other third-party providers. Sellers remain responsible for shipping compliance, packaging, delivery obligations, and accuracy of shipping information.

9. Identity Verification

The Platform may use Persona or other third-party verification providers to verify user identity. Users authorize the Platform and its providers to process verification-related information.

10. Prohibited Conduct

Users may not: (a) post prohibited or non-wedding related items; (b) engage in fraud, harassment, abuse, or deceptive conduct; (c) upload unlawful, infringing, or harmful content; (d) circumvent payment systems; (e) misuse messaging functionality; or (f) violate applicable laws. EAE reserves the right to remove listings, suspend accounts, or terminate access at its discretion.

11. Moderation and Enforcement

EAE reserves the right, but not the obligation, to monitor content, investigate complaints, moderate listings, review reports, remove content, suspend Users, and resolve disputes in its sole discretion. EAE reserves sole discretion regarding whether to review, mediate, facilitate, or assist with disputes, returns, refunds, or account actions. EAE does not guarantee recovery of funds, return of products, or any particular dispute outcome.

12. Returns and Disputes

EAE may assist in mediating disputes and processing refunds or returns through administrative review; however, EAE is not obligated to resolve disputes between Users and does not guarantee any particular outcome.

13. Intellectual Property

All Platform software, branding, trademarks, and proprietary materials are owned by EAE or its licensors. Users may not copy, modify, reverse engineer, or exploit the Platform except as expressly permitted.

14. Copyright / DMCA

EAE respects intellectual property rights and expects Users to do the same. If you believe content on the Platform infringes your copyright or other intellectual property rights, please contact info@shopeverafterexchange.com with sufficient detail regarding the alleged infringement. EAE reserves the right to remove allegedly infringing content and suspend repeated infringers.

15. Privacy

Use of the Platform is subject to EAE’s Privacy Policy https://www.shopeverafterexchange.com/privacy-policy, which is incorporated into these Terms. In the event of account deletion requests, EAE may retain certain information as reasonably necessary for legal compliance, fraud prevention, dispute resolution, enforcement of these Terms, backup retention, and operational purposes.

16. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. THE PLATFORM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

 

EAE DOES NOT WARRANT OR GUARANTEE:

  • THE ACCURACY OF LISTINGS;

  • THE CONDUCT OF USERS;

  • THE COMPLETION OF TRANSACTIONS;

  • PAYMENT OR DELIVERY PERFORMANCE;

  • THE AUTHENTICITY, QUALITY, LEGALITY, OR SAFETY OF LISTED ITEMS; OR

  • UNINTERRUPTED OR ERROR-FREE OPERATION OF THE PLATFORM.

 

THIRD-PARTY SERVICES AND INTEGRATIONS, INCLUDING STRIPE, SHIPPO, PERSONA, SENDGRID, AND OTHER PROVIDERS, ARE PROVIDED BY INDEPENDENT THIRD PARTIES AND MAY BE SUBJECT TO OUTAGES, INTERRUPTIONS, DELAYS, OR SEPARATE TERMS AND POLICIES OUTSIDE EAE’S CONTROL.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES;

  • LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR GOODWILL;

  • DISPUTES, TRANSACTIONS, OR INTERACTIONS BETWEEN USERS;

  • USER CONTENT OR USER CONDUCT;

  • OR ANY INTERRUPTION, DELAY, FAILURE, OR SECURITY ISSUE RELATED TO THE PLATFORM OR THIRD-PARTY SERVICES. 

 

IN NO EVENT SHALL EAE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THE APPLICABLE USER TO EAE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

18. Indemnification

Users agree to indemnify and hold harmless EAE and its affiliates from claims arising out of user content,
transactions, misuse of the Platform, or violations of these Terms.

19. Account Termination

EAE may suspend or terminate access to the Platform at any time and for any reason, including suspected fraud,
prohibited conduct, risk to Users, legal compliance concerns, or violation of these Terms. EAE reserves the right to
refuse service or access to the Platform to any person or entity in its sole discretion.

20. ELECTRONIC COMMUNICATIONS

By creating an account or using the Platform, Users consent to receive communications from EAE electronically,
including by email, in-app notification, text message (if applicable), or through the Platform. Users agree that such
electronic communications satisfy any legal requirement that communications be provided in writing.

21. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflicts-of-law principles.

22. DISPUTE RESOLUTION; CLASS ACTION WAIVER

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in
Austin, Texas, except either party may seek injunctive relief in court for intellectual property or misuse claims. Users
waive any right to participate in class actions or class-wide arbitration to the fullest extent permitted by applicable
law.

23. Changes To Terms

EAE may modify these Terms from time to time. Continued use of the Platform following updated Terms constitutes
acceptance.
